GFA would like to invite you to attend the M&A and LBO Modeling Course, a session hosted by Training The Street. The Merger and LBO Modeling seminar is an intensive one-day workshop designed to develop an understanding of M&A and LBO analysis through actual hands-on construction of a merger consequences model and an LBO model. Through practical examples and annotated Excel guides, the lectures will discuss theories, approaches and applications of transaction modeling. The completed models allow for a dynamic evaluation of (1) whether or not a company should acquire a competitor or sell itself (merger consequences analysis) and (2) whether or not the company is a strong LBO candidate.
Key topics include:
• Transaction summary - sources and uses of funds (M&A and LBO)
• Synergies analysis, including phase-in of projected synergies (M&A)
• Earnings impact, including accretion/(dilution) analysis and breakeven synergies (M&A)
• Purchase price allocation, including step-ups and the calculation of goodwill (M&A)
• The interests of the three main constituents of the LBO (selling shareholders, lenders and financial sponsor) (LBO)
• Returns analysis to the financial sponsor (LBO)

The course fee is $75. Please note that all Training The Street courses are heavily subsidized by the GFA. Registration is limited and since we must commit the number of students, the registration fee is NON-REFUNDABLE.
